בקצרה (התמצית אינה מחליפה את התנאים)
- מה זה המסמך. התנאים הכלליים שחלים על כל שימוש בפלטפורמת AgenticEye OS ועל כל התקשרות של "שותף עיצוב". המסמך המסחרי שחתמתם עליו (טופס ההתקשרות) קובע את התנאים הפרטניים, והוא גובר על מסמך זה במקרה של סתירה.
- הפלטפורמה בפיתוח. היא ניתנת כפי שהיא, ההתראות וההמלצות שלה הן כלי עזר, והאחריות על הגידול והטיפול בבעלי החיים נשארת של המגדל והווטרינר.
- הנתונים שלכם שלכם. אנחנו משתמשים בהם כדי להפעיל ולשפר את המערכת, ומחוץ למשק רק בצורה מצרפית או אנונימית. ייצוא מלא זמין מתוך המערכת בכל עת.
- יציאה. כל צד רשאי לסיים בהודעה של 30 יום. חישוב התמורה בגין מחזורים שהושלמו נשאר בתוקף.
1תחולה, מסמכי ההתקשרות וסדר העדיפויות
- 1.1תנאים כלליים אלה ("התנאים") חלים על כל גישה לפלטפורמת AgenticEye OS ושימוש בה, ועל כל התקשרות בין החברה לבין לקוח במסגרת תוכנית שותף העיצוב. הם מהווים חלק בלתי נפרד מכל טופס התקשרות, הצעת מחיר, טופס הצטרפות או מסמך פרטני אחר שנחתם או אושר בין החברה לבין הלקוח ומפנה אליהם ("מסמך ההתקשרות"). התנאים ומסמך ההתקשרות ייקראו יחד "ההסכם".
- 1.2במקרה של סתירה בין התנאים לבין הוראה מפורשת במסמך ההתקשרות, תגבר הוראת מסמך ההתקשרות, ורק ביחס לנושא שבו קיימת הסתירה. התיעוד, תנאי השימוש באתר החברה וכל מסמך אחר כפופים לתנאים.
- 1.3מי שנרשם לפלטפורמה או משתמש בה בלי שנחתם מסמך התקשרות (לרבות בתקופת ניסיון) כפוף לתנאים אלה, למעט סעיף 8, שחל רק כאשר מסמך ההתקשרות קובע חלק לחברה בשיפור.
- 1.4משתמש הפועל בשם תאגיד מצהיר שהוא מוסמך לחייב אותו. "השותף" או "הלקוח" הוא התאגיד או האדם המזוהה במסמך ההתקשרות, ובהיעדרו מי שפתח את החשבון.
2הגדרות
- "הפלטפורמה" — מערכת AgenticEye OS על כל רכיביה: יישומי התוכנה והאפליקציה, שירותי הענן, ממשקי התכנות (API), כלי האיסוף והניתוח, הדוחות, ההתראות, ההמלצות והתובנות המופקים בה, האלגוריתמים והמודלים, התיעוד, וכל עדכון או גרסה חדשה שיסופקו במהלך התקופה.
- "הציוד" — חיישנים, מצלמות, יחידות תקשורת ומחשוב וציוד נלווה המותקנים במשק לצורך הפעלת הפלטפורמה.
- "המשק" — הלולים, המתחמים והמבנים של השותף המפורטים במסמך ההתקשרות או שהוגדרו בפלטפורמה.
- "משתמשים מורשים" — עובדי השותף, וכן יועציו ונותני שירותים מטעמו (כגון וטרינר או מדריך גידול) שאינם מתחרים של החברה, שהשותף פתח להם גישה.
- "נתוני השותף" — כל מידע הנוגע לשותף, למשק, לבעלי החיים, למחזורי הגידול, לעובדיו, לספקיו או למכירותיו, שנמסר לחברה או נאסף במשק באמצעות הפלטפורמה, לרבות תמונות, סרטונים וקריאות חיישנים.
- "נתונים מצרפיים" — נתונים שעברו צירוף או התממה כך שלא ניתן לזהות מהם באופן סביר את השותף, את עובדיו או את פעילותו המסחרית הספציפית.
- "משוב" — הערות, הצעות, בקשות, דיווחי תקלה ורעיונות הנוגעים לפלטפורמה.
- "מחזור גידול" — תקופת גידול בלול מסוים, מקליטת האפרוחים ועד שיווק הלהקה.
- "התקופה" — תקופת ההסכם כקבוע בסעיף 16.
3תוכנית שותף העיצוב ומה החברה מספקת
- 3.1שלב פיתוח. הפלטפורמה נמצאת בתהליכי פיתוח, בדיקה וכיול ואינה מוצר מוגמר. ייתכנו בה תקלות, השבתות ושגיאות. השותף משתתף בתוכנית שותף העיצוב מתוך ידיעה זו, ובתמורה מקבל גישה מוקדמת, השפעה על עיצוב המוצר ותנאים מועדפים כמפורט במסמך ההתקשרות.
- 3.2התקנה ותפעול. החברה תתקין, תפעיל ותתחזק את הפלטפורמה במשק לפי מסמך ההתקשרות, ותהיה רשאית לעדכן את הפלטפורמה, להוסיף או להסיר יכולות ולהשבית אותה זמנית לצורכי תחזוקה, תיקון או פיתוח, ככל הניתן בהודעה מראש.
- 3.3תמיכה. החברה תעמיד איש קשר, תדריך את צוות השותף בשימוש בפלטפורמה ותפעל במאמץ מסחרי סביר לטפל בתקלות שדווחו לה. אלא אם נקבע אחרת במסמך ההתקשרות, אין בתנאים התחייבות לרמת שירות, לזמינות מינימלית או לזמני תגובה מוגדרים.
- 3.4משוב ופיתוח. החברה רשאית, לפי שיקול דעתה, להשקיע משאבים ביישום המשוב ולהחליט אילו יכולות לפתח. אין בקבלת משוב התחייבות לפתח יכולת מסוימת.
- 3.5כלי עזר בלבד. ההתראות, ההמלצות, התחזיות והתשובות של העוזר החכם הן כלי עזר להחלטות המגדל. הן אינן מחליפות את מערכות הבקרה, האזעקה וגיבוי החשמל של המשק, את השגחת הצוות או את שיקול הדעת המקצועי של המגדל והווטרינר, ואינן ייעוץ וטרינרי, תזונתי או רגולטורי.
- 3.6פרסום. הצגת השותף כלקוח, לרבות שם, לוגו, תמונות או תוצאות, תיעשה רק באישור השותף מראש ובכתב לכל פרסום. אישור בדואר אלקטרוני מספיק.
4רישיון שימוש ומשתמשים מורשים
- 4.1בכפוף להסכם, החברה מעניקה לשותף רישיון מוגבל, לא בלעדי, לא ניתן להעברה או להמחאה ולא ניתן לרישוי משנה, להשתמש בפלטפורמה במהלך התקופה לצורכי ניהול המשק בלבד, בהתאם לתיעוד. כל זכות שלא הוענקה במפורש שמורה לחברה.
- 4.2השותף רשאי לפתוח גישה למשתמשים מורשים בלבד, אחראי לשימוש שהם עושים בפלטפורמה כאילו היה שימושו שלו, וישמור את פרטי הגישה בסוד. גישה למתחרה של החברה טעונה הסכמה בכתב.
- 4.3הרישיון ניתן ללא דמי רישיון או דמי מנוי, אלא אם מסמך ההתקשרות קובע אחרת, ואינו גורע מזכאות החברה לחלק בשיפור לפי סעיף 8 כאשר מסמך ההתקשרות קובע זאת.
5שימושים אסורים
למעט כפי שהותר במפורש בהסכם או בהסכמת החברה מראש ובכתב, השותף לא יעשה ולא יאפשר לאחר לעשות אחד מאלה:
- להעתיק, לשנות, לתרגם או ליצור יצירה נגזרת מהפלטפורמה או מחלק ממנה;
- לפרק, להנדס לאחור או לנסות לחשוף קוד מקור, מודלים או אלגוריתמים של הפלטפורמה;
- למכור, להשכיר, להשאיל, להעניק רישיון משנה או להעמיד את הפלטפורמה לרשות צד שלישי, לרבות כלשכת שירות;
- לעקוף אמצעי אבטחה או הגבלות גישה, לבדוק את חוסנה של הפלטפורמה או להעמיס עליה בכוונה;
- להשתמש בפלטפורמה כדי לפתח מוצר מתחרה, או לפרסם תוצאות בדיקות ביצועים שלה בלי אישור;
- להסיר או להסתיר סימני מסחר והודעות קניין;
- להעלות לפלטפורמה תוכן בלתי חוקי, מזיק או מפר זכויות, או להשתמש בה בניגוד לדין, לרבות דיני הגנת הפרטיות.
6התחייבויות השותף
- 6.1נציג. השותף ימנה נציג שישמש איש קשר ראשי לתיאום ולמשוב.
- 6.2גישה. השותף יאפשר לחברה ולמי מטעמה, בתיאום מראש ובשעות סבירות, גישה למשק ולתשתיות הדרושות להתקנה, להפעלה, לבדיקה, לתחזוקה, להחלפה ולהסרה של הציוד, ולא ימנע או יעכב באופן בלתי סביר גישה הנדרשת לטיפול בתקלה.
- 6.3ביטחון ביולוגי ובטיחות. צוות החברה יפעל לפי נוהלי הבטיחות, ההיגיינה והביטחון הביולוגי של המשק, כפי שיימסרו לו מראש. התקנה והסרה של ציוד ייעשו, ככל הניתן, בתקופת הניקוי שבין מחזורי הגידול.
- 6.4תשתיות. השותף יעמיד לרשות הפלטפורמה חיבור לחשמל ולאינטרנט הקיימים במשק, ככל שהם זמינים ונדרשים.
- 6.5היתרים והסכמות. השותף אחראי להשיג ולקיים כל הסכמה, היתר או הרשאה שבאחריותו לפי דין לצורך התקנת הציוד, הצילום ואיסוף המידע במשק, לרבות יידוע עובדים, מבקרים ונותני שירותים העשויים להימצא באזורים המצולמים. החברה תספק נוסח שילוט והודעה מומלצים.
- 6.6נתונים. השותף יזין בפלטפורמה או ימסור לחברה, באופן מלא, מדויק ובמועד, את נתוני הגידול הדרושים להפעלת הפלטפורמה, לכיולה ולחישוב לפי סעיף 8, לרבות קליטה, תמותה, צריכת מזון ומים, שקילות, מועדי שיווק ושחיטה ותמורת המכירה.
- 6.7אירועים חריגים. השותף יעדכן את החברה ללא דיחוי על אירוע חריג, תקלה או שינוי מהותי בתנאי הגידול העשויים להשפיע על הפעלת הפלטפורמה או על החישוב.
- 6.8משוב. השותף יספק לחברה משוב סביר על הפלטפורמה, לרבות השתתפות בשיחות משוב תקופתיות, וישתף בצרכים, בבעיות ובנהלים הרלוונטיים לעיצוב המוצר.
- 6.9מצגים. השותף מצהיר כי ההתקשרות וקיומה אינם מפרים דין, רישיון או הסכם המחייבים אותו, וכי יש לו את הזכויות הדרושות להעניק לחברה את הזכויות לפי ההסכם, ללא תשלום לצד שלישי.
7ציוד
- 7.1מסמך ההתקשרות קובע איזה ציוד יותקן ומי מספק אותו. אלא אם נקבע בו אחרת, הציוד מסופק ומותקן על ידי החברה, נשאר בבעלותה ובאחריותה, ויוסר על ידה בתום ההסכם.
- 7.2השותף לא יזיז, ינתק, ישנה או יפגע בציוד ללא תיאום עם החברה, למעט במקרה חירום שבו הדבר נדרש למניעת נזק מיידי, ויודיע לחברה על נזק או תקלה שנודעו לו.
- 7.3תיקון או החלפה של ציוד עקב בלאי סביר, פגם או תקלה שאינה באשמת השותף יחולו על הצד שמספק את הציוד לפי מסמך ההתקשרות. נזק לציוד שנגרם במעשה מכוון, בשימוש בלתי מורשה או ברשלנות של השותף או מי מטעמו יחול על השותף.
- 7.4הציוד מיועד לניטור בעלי החיים וסביבת הגידול. המצלמות יכוונו לאזורי הגידול, והפלטפורמה אינה מבצעת זיהוי פנים ואינה מיועדת לפיקוח על עובדים.
8תמורה ומנגנון חלק החברה בשיפור
סעיף זה חל כאשר מסמך ההתקשרות קובע שהחברה זכאית לחלק מהשיפור שיימדד בביצועי המשק ("חלק החברה בשיפור"). שיעור החלק, הנוסחה, הבסיס לכל לול ושיטת ייחוס התמורה נקבעים במסמך ההתקשרות ובנספחיו, והם גוברים על סעיף זה. בהיעדר קביעה אחרת שם, יחולו ההוראות הבאות.
- 8.1עלויות. החברה נושאת בעלויות הייעודיות של ההקמה, ההתקנה, ההפעלה והתחזוקה של הפלטפורמה. השותף נושא בעלויות הרגילות של פעילות המשק ושל התשתיות הקיימות. עלות חיצונית ייעודית שלא הייתה נגרמת אלמלא הפלטפורמה תחול על החברה, ובלבד שאישרה אותה מראש ובכתב.
- 8.2המדד. השיפור נמדד לכל לול ולכל מחזור גידול בנפרד באמצעות מדד EPEF (European Production Efficiency Factor), שמחושב כך: שיעור השרידות באחוזים, כפול המשקל החי הממוצע בק"ג, כפול 100, והכול חלקי מכפלת ימי הגידול ביחס המרת המזון. לעניין זה:
- שיעור השרידות — מספר העופות שהגיעו לשחיטה, חלקי מספר האפרוחים שנקלטו, כפול 100 (מוזן כמספר, למשל 96, ולא כשבר);
- משקל חי ממוצע — המשקל החי הממוצע בק"ג במועד השחיטה;
- יחס המרת מזון (FCR) — כמות המזון שנצרכה במחזור בק"ג, חלקי המשקל החי הכולל ששווק בק"ג;
- ימי גידול — מספר הימים מקליטת האפרוחים ועד השחיטה. כאשר השיווק נפרס על כמה ימים, ימי הגידול הם הממוצע המשוקלל לפי מספר העופות.
- 8.3הבסיס. "EPEF הבסיס" של לול הוא ממוצע ה-EPEF בשלושת מחזורי הגידול המלאים האחרונים שהושלמו באותו לול לפני הפעלת הפלטפורמה, כמפורט בנספח למסמך ההתקשרות. בהיעדר נתונים מלאים לשלושה מחזורים, יקבעו הצדדים בכתב בסיס חלופי לפני תחילת המדידה. מסמך ההתקשרות רשאי לקבוע מחזורי כיול שאינם נמדדים, לולי ביקורת או התאמה עונתית.
- 8.4שיעור השיפור ושוויו. שיעור השיפור במחזור הוא ההפרש בין ה-EPEF במחזור הנמדד לבין EPEF הבסיס, חלקי EPEF הבסיס. שווי השיפור הוא שיעור השיפור כפול תמורת המכירה באותו מחזור. "תמורת המכירה" היא מלוא התמורה המגיעה לשותף בגין העופות ששווקו מהלול באותו מחזור, בניכוי מע"מ, זיכויים, הנחות והחזרות. כאשר תמורה אחת מתייחסת לכמה לולים ללא הפרדה, היא תיוחס לכל לול לפי המשקל החי ששווק ממנו, אלא אם נקבעה שיטה אחרת במסמך ההתקשרות.
- 8.5אין שיפור, אין תשלום. כאשר שיעור השיפור במחזור הוא אפס או שלילי, לא מגיע תשלום בגין אותו מחזור. אלא אם מסמך ההתקשרות קובע קיזוז, תוצאה שלילית במחזור אחד אינה מקוזזת משיפור במחזור אחר.
- 8.6חלק החברה. בגין כל מחזור שבו נמדד שיפור חיובי, החברה זכאית לשיעור הקבוע במסמך ההתקשרות משווי השיפור, בתוספת מע"מ כדין. החישוב לפי סעיף זה הוא המדד החוזי המוסכם לשיפור בתוצאות הכלכליות, ולא נדרש חישוב של הרווח החשבונאי בפועל.
- 8.7נתונים וחישוב. בתוך 14 ימי עסקים מהמועד שבו יהיו בידי השותף הנתונים הסופיים של המחזור, לרבות נתוני השחיטה ותמורת המכירה, ימסור אותם השותף לחברה עם אסמכתאות. החברה תערוך את החישוב, ככל הניתן מתוך הנתונים שבפלטפורמה, ותמסור אותו לשותף עם פירוט הנתונים שעליהם התבסס.
- 8.8השגה. השותף רשאי למסור השגה מנומקת בתוך 14 יום מקבלת החישוב. בהיעדר השגה במועד ייחשב החישוב כמאושר. לא יישבו הצדדים את ההשגה בתוך 14 יום נוספים, תוכרע המחלוקת על ידי רואה חשבון בלתי תלוי, בעל היכרות עם ענף החקלאות, שימונה בהסכמה, ובהיעדר הסכמה על ידי נשיא לשכת רואי החשבון בישראל. הוא יכריע כמומחה ולא כבורר, על יסוד ההסכם והנתונים שיוצגו לו, והכרעתו תהיה סופית למעט טעות גלויה. בשכרו יישאו הצדדים בחלקים שווים, אלא אם קבע אחרת.
- 8.9תשלום. חלק החברה ישולם בתוך 30 יום ממסירת חשבונית מס כדין לאחר אישור החישוב. השגה אינה מעכבת תשלום של סכום שאינו שנוי במחלוקת.
- 8.10אירוע חריג. מחזור שהושפע באופן מהותי מאירוע שאינו קשור לפלטפורמה, כגון התפרצות מחלה, השמדה, תקלה מהותית בתשתית הלול, שינוי מהותי בזן, בתזונה או בתנאי הגידול, או כוח עליון, יידון בתום לב לצורך התאמה, החרגה או קביעת בסיס חלופי. מחזור או נתון לא יוחרגו באופן חד-צדדי. בהיעדר הסכמה יחול סעיף 8.8.
- 8.11קשר סיבתי. למעט התאמה שהוסכמה לפי סעיף 8.10, שיפור חיובי שחושב לפי סעיף זה מזכה את החברה בחלקה, ולא נדרשת הוכחה נפרדת של קשר סיבתי בין הפעלת הפלטפורמה לבין השיפור.
- 8.12תיעוד וביקורת. כל צד ישמור את הנתונים והאסמכתאות ששימשו לחישוב 24 חודשים לפחות. החברה רשאית, בתיאום מראש ולא יותר מפעם בשנה, למנות רואה חשבון בלתי תלוי שיעיין בנתונים הרלוונטיים לאימות החישוב, תוך שמירה על סודיות ובלי להכביד שלא לצורך על פעילות השותף.
- 8.13מיסים. כל צד אחראי למיסים החלים עליו. סכומים לפי ההסכם הם בתוספת מע"מ כדין, כנגד חשבונית מס.
- 8.14מיצוי. הסדרי סעיף זה ומסמך ההתקשרות ממצים את ההסכמות הכספיות בין הצדדים. אף צד אינו זכאי לתשלום, עמלה, בונוס או החזר הוצאות שלא נקבעו בהסכם.
9נתוני השותף, פרטיות ואבטחה
- 9.1בעלות. נתוני השותף הם ושיישארו בבעלותו הבלעדית של השותף. הפלטפורמה, התיעוד, האלגוריתמים, המודלים, נתוני התפעול הטכניים של הפלטפורמה והנתונים המצרפיים אינם נתוני השותף.
- 9.2שימוש מותר. החברה תעבד את נתוני השותף לצורך אספקת הפלטפורמה, הפעלתה, בדיקתה, כיולה, אבטחתה ושיפורה, לצורך תמיכה, לחישוב לפי סעיף 8 ולקיום חובות לפי דין, ורשאית לחשוף אותם לספקי שירות שלה הכפופים לחובות סודיות ואבטחה מתאימות, כמפורט במדיניות הפרטיות. החברה לא תמכור את נתוני השותף ולא תמסור אותם לצד שלישי לצרכיו של אותו צד.
- 9.3נתונים מצרפיים. החברה רשאית ליצור נתונים מצרפיים מנתוני השותף ולהשתמש בהם ללא הגבלה, לרבות לאימון מודלים, להשוואות ענפיות ולפיתוח ולמסחור של הפלטפורמה.
- 9.4בינה מלאכותית. חלק מיכולות הפלטפורמה מופעלות באמצעות מודלים של ספקי בינה מלאכותית חיצוניים, שאליהם נשלחים קטעי טקסט ותמונות הדרושים לניתוח. הספקים, סוג המידע הנשלח והאמצעים להגנתו מפורטים במדיניות הפרטיות. החברה לא תאמן מודלים על נתוני השותף המזוהים אלא בהסכמתו.
- 9.5תפקידים לפי דיני הפרטיות. ככל שנתוני השותף כוללים מידע אישי על עובדיו, ספקיו או אנשי קשר אחרים, השותף הוא בעל השליטה במידע והחברה מחזיקה בו ומעבדת אותו עבורו לפי הוראותיו הסבירות, בהתאם לחוק הגנת הפרטיות, התשמ"א-1981 ותקנותיו. השותף אחראי לבסיס החוקי לאיסוף המידע וליידוע נושאי המידע; החברה אחראית לאבטחת המידע שברשותה, תסייע לשותף במענה לפניות של נושאי מידע, ותודיע לו ללא דיחוי על אירוע אבטחה חמור הנוגע לנתוניו.
- 9.6אבטחה. החברה תנקוט אמצעי אבטחה סבירים ומקובלים בתעשייה, לרבות הצפנה בתעבורה, בקרת גישה לפי תפקידים, ניהול סשנים, רישום פעולות וגיבויים תקופתיים, בהתאם לתקנות הגנת הפרטיות (אבטחת מידע), התשע"ז-2017.
- 9.7ייצוא ומחיקה. השותף רשאי לייצא את נתוניו מתוך הפלטפורמה בכל עת בפורמט מקובל. לאחר סיום ההסכם תשמור החברה את נתוני השותף 90 יום לצורך ייצוא, ולאחר מכן תמחק אותם או תהפוך אותם לנתונים מצרפיים, למעט מה שנדרש לשמור לפי דין, לצורך הגנה על זכויות משפטיות או לחישוב לפי סעיף 8. חובת הייצוא אינה חלה על הפלטפורמה, התיעוד, האלגוריתמים, המודלים, נתוני תפעול טכניים או מידע של צדדים שלישיים.
- 9.8מדיניות פרטיות. פרטים מלאים על עיבוד המידע, ספקי המשנה, תקופות השמירה והזכויות של נושאי המידע מופיעים במדיניות הפרטיות של AgenticEye OS, המהווה חלק מהתנאים.
10קניין רוחני ומשוב
- 10.1הפלטפורמה והציוד ניתנים ברישיון ואינם נמכרים. החברה ובעלי הרישיונות שלה הם בעלי כל הזכויות בפלטפורמה, בתיעוד ובכל שיפור, פיתוח או יצירה נגזרת שלהם, לרבות כאלה שנוצרו בעקבות המשוב, וההסכם אינו מעביר לשותף זכות בהם מלבד הרישיון לפי סעיף 4.
- 10.2השותף מעניק לחברה רישיון בלתי חוזר, כלל-עולמי, ללא תמלוגים ולצמיתות להשתמש במשוב, לשלבו בפלטפורמה ובמוצרים ובשירותים נוכחיים ועתידיים, ללא חובת ייחוס או תשלום. אין בכך כדי להעביר לחברה סודות מסחריים או ידע מקצועי של השותף שאינם המשוב עצמו, והם נשארים בבעלותו.
- 10.3סימני המסחר, הלוגו והשמות של כל צד שייכים לו, ואין להשתמש בהם ללא הסכמתו, למעט לפי סעיף 3.6.
11סודיות
- 11.1"מידע סודי" הוא מידע לא ציבורי של צד, בכל צורה, הנוגע למוצריו, לטכנולוגיה, לנתוניו, לידע או לעסקיו, שסומן כסודי או שמטבעו או מנסיבות מסירתו יש לראותו כסודי. הפלטפורמה והתיעוד הם מידע סודי של החברה; נתוני השותף הם מידע סודי של השותף.
- 11.2כל צד ישמור את המידע הסודי של הצד השני בסוד, ישתמש בו רק לצורכי ההסכם, יגן עליו לפחות כפי שהוא מגן על מידע סודי משלו ולא פחות מאמצעי זהירות סבירים, ויחשוף אותו רק לעובדיו, יועציו וספקיו הזקוקים לו לצורכי ההסכם והכפופים לחובות סודיות דומות.
- 11.3החובה אינה חלה על מידע שהצד המקבל יוכיח כי היה או הפך לנחלת הכלל שלא עקב הפרה, היה ברשותו כדין לפני קבלתו, התקבל כדין מצד שלישי ללא חובת סודיות, או פותח באופן עצמאי. גילוי הנדרש לפי דין או צו מותר, בהודעה מוקדמת לצד השני ככל שהדין מתיר, ותוך צמצום החשיפה.
- 11.4חובת הסודיות נמשכת שלוש שנים מתום ההסכם, ולגבי סודות מסחריים ונתוני השותף כל עוד הם סודיים.
12רכיבי צד שלישי ובינה מלאכותית
- 12.1הפלטפורמה עשויה לכלול רכיבי תוכנה של צד שלישי, לרבות רכיבי קוד פתוח, הכפופים לתנאי הרישיון שלהם. בסתירה בין תנאים אלה לבין רישיון של רכיב כזה, יגבר רישיון הרכיב ביחס לאותו רכיב בלבד. אין בכך כדי להפוך את הפלטפורמה לתוכנת קוד פתוח.
- 12.2תוצרים של בינה מלאכותית, לרבות ניתוחי תמונה וסרטון, סיווג דיווחים, תחזיות ותשובות העוזר החכם, עשויים להיות שגויים, חלקיים או לא מעודכנים. השותף יפעיל שיקול דעת מקצועי לפני הסתמכות עליהם, ולא יסתמך עליהם כמקור יחיד להחלטה הנוגעת לבריאות בעלי חיים, לבטיחות או לעמידה ברגולציה.
- 12.3שירותים חיצוניים המשולבים בפלטפורמה (כגון שירותי מפות, מזג אוויר, הודעות WhatsApp ודואר אלקטרוני) מסופקים על ידי צדדים שלישיים, והחברה אינה אחראית לזמינותם או לדיוקם.
13היעדר אחריות
- 13.1במידה המרבית המותרת לפי דין, הפלטפורמה, הציוד והתיעוד מסופקים כפי שהם (AS IS) וכפי שהם זמינים. החברה אינה מתחייבת כי הפלטפורמה תענה על דרישות השותף, כי פעולתה תהיה רציפה, מאובטחת או נטולת שגיאות, או כי כל תקלה תתוקן, ומתנערת מכל אחריות משתמעת, לרבות לסחירות או להתאמה למטרה מסוימת.
- 13.2החברה אינה מתחייבת כי הפעלת הפלטפורמה תביא לשיפור ב-EPEF, בשרידות, במשקל, ביחס המרת המזון, בימי הגידול, בהכנסות, בעלויות, ברווחיות או בכל מדד אחר. השימוש בפלטפורמה בשלב הפיתוח מהווה הסכמה להשתתף בבדיקות של גרסאות שאינן סופיות.
14הגבלת אחריות
- 14.1במידה המרבית המותרת לפי דין, אף צד לא יהיה אחראי כלפי משנהו, בחוזה, בנזיקין (לרבות רשלנות) או בכל עילה אחרת, לנזק עקיף, תוצאתי, מיוחד או עונשי, לרבות אובדן הכנסות, רווחים, מוניטין, נתונים או חיסכון צפוי, גם אם הוזהר על האפשרות לנזק כאמור.
- 14.2האחריות הכוללת והמצטברת של כל צד הנובעת מההסכם או הקשורה אליו לא תעלה על הגבוה מבין: (א) הסכומים ששולמו בפועל לחברה לפי ההסכם ב-12 החודשים שקדמו לאירוע שהקים את העילה; ו-(ב) תקרת האחריות המינימלית הקבועה במסמך ההתקשרות, ובהיעדרה 50,000 ש"ח.
- 14.3ההגבלות בסעיף זה אינן חלות על אחריות שאין להגבילה לפי דין, על נזק שנגרם במזיד או ברשלנות רבתי, על נזקי גוף, על הפרת סעיפים 5, 10 או 11, ועל חובת השיפוי לפי סעיף 15.
- 14.4הצדדים מאשרים שההקצאה בסעיפים 13 ו-14 משקפת את העובדה שהפלטפורמה ניתנת בשלב פיתוח ובתנאים מועדפים, והיא יסוד להסכמתם.
15שיפוי
- 15.1השותף ישפה את החברה, נושאי המשרה, העובדים והקבלנים שלה בגין תביעת צד שלישי, לרבות הוצאות משפט סבירות, הנובעת משימוש בלתי מורשה בפלטפורמה, מהפרת סעיפים 5 או 6.5 או ממידע שהשותף העלה לפלטפורמה בניגוד לדין או לזכויות צד שלישי.
- 15.2החברה תשפה את השותף בגין תביעת צד שלישי הטוענת שהפלטפורמה, כפי שסופקה על ידי החברה ובשימוש לפי ההסכם, מפרה זכות קניין רוחני של אותו צד בישראל. החברה רשאית, לפי בחירתה, להשיג לשותף זכות המשך שימוש, לשנות את הפלטפורמה כך שלא תפר, או לסיים את ההסכם. השיפוי אינו חל על הפרה הנובעת מנתוני השותף, משילוב שלא על ידי החברה או משימוש בניגוד להסכם.
- 15.3צד הזכאי לשיפוי יודיע למשפה על התביעה ללא דיחוי, יאפשר לו לנהל את ההגנה ואת המשא ומתן לפשרה (שלא תטיל על הזכאי חבות או הודאה ללא הסכמתו) וישתף עמו פעולה באופן סביר.
16תקופה וסיום
- 16.1תקופה. ההסכם נכנס לתוקף במועד הקבוע במסמך ההתקשרות ונמשך לתקופה הקבועה בו; בהיעדר קביעה, 12 חודשים ממועד השלמת ההתקנה, בחידוש אוטומטי לתקופות של 12 חודשים אלא אם צד הודיע אחרת 30 יום לפני תום תקופה.
- 16.2סיום בהודעה. כל צד רשאי לסיים את ההסכם מכל סיבה בהודעה בכתב של 30 יום מראש.
- 16.3הפרה וחדלות פירעון. כל צד רשאי לסיים את ההסכם מיד אם הצד השני הפר אותו הפרה מהותית שלא תוקנה בתוך 15 יום מקבלת הודעה בכתב, או אם ניתן נגדו צו פירוק, כינוס או הקפאת הליכים שלא בוטל בתוך 45 יום.
- 16.4תוצאות הסיום. עם סיום ההסכם: (א) הרישיון פוקע והשותף יחדל להשתמש בפלטפורמה; (ב) השותף יאפשר לחברה גישה סבירה להסרת ציודה, והחברה תסיר אותו בתיאום, ככל הניתן בתקופת הניקוי שבין מחזורים ולא בזמן שיש בעלי חיים בלול אלא בהסכמת השותף, ותחזיר את מקומות ההתקנה למצבם הקודם למעט בלאי סביר; (ג) כל צד ישיב או ישמיד את המידע הסודי של הצד השני, בכפוף לשמירה הנדרשת לפי דין ולסעיף 9.7; (ד) השותף זכאי לייצוא נתוניו לפי סעיף 9.7.
- 16.5חישובים שטרם הושלמו. הסיום אינו גורע מזכות החברה לחלקה בשיפור בגין מחזורים שהושלמו לפני הסיום. הסתיים ההסכם במהלך מחזור שבו הופעלה הפלטפורמה, ייערך החישוב בגינו עם השלמתו, וחלק החברה יוכפל ביחס שבין מספר הימים שבהם הופעלה הפלטפורמה במחזור לבין מספר ימי הגידול הכולל בו, אלא אם הוסכם אחרת בכתב.
- 16.6הוראות שורדות. סעיפים 8 (לגבי מחזורים שהושלמו), 9, 10, 11, 13, 14, 15, 16.4 עד 16.6 ו-18 ימשיכו לחול לאחר הסיום.
17שינוי התנאים
- 17.1החברה רשאית לעדכן תנאים אלה מעת לעת. הגרסה העדכנית, מספרה ומועד כניסתה לתוקף מתפרסמים בכתובת הקבועה של מסמך זה, ויומן הגרסאות שבסופו מתעד את השינויים.
- 17.2שינוי מהותי ייכנס לתוקף כלפי שותף שחתם על מסמך התקשרות 30 יום לאחר שנמסרה לו הודעה בכתב או בפלטפורמה, ולא יפגע בתנאים המסחריים שבמסמך ההתקשרות ולא יצמצם זכויות שהוקנו לשותף בגין התקופה שקדמה לשינוי. שותף שאינו מסכים לשינוי רשאי לסיים את ההסכם בהודעה לפני כניסתו לתוקף.
- 17.3המשך השימוש בפלטפורמה לאחר כניסת שינוי לתוקף מהווה הסכמה לו. שינוי שאינו מהותי, לרבות תיקון טעות או הבהרה, נכנס לתוקף עם פרסומו.
18כללי
- 18.1צדדים עצמאיים. ההסכם אינו יוצר שותפות, מיזם משותף, יחסי עבודה או סוכנות. הכינוי "שותף עיצוב" מתאר את אופי שיתוף הפעולה בלבד.
- 18.2שלמות ההסכם. ההסכם ממצה את המוסכם בין הצדדים בנושאיו וגובר על כל הבנה או טיוטה קודמת. שינוי ייעשה בכתב, אלא כאמור בסעיף 17, ועדכון נספחים טכניים אפשרי בהסכמה בדואר אלקטרוני בין הנציגים.
- 18.3המחאה. צד לא יעביר את ההסכם לאחר ללא הסכמת הצד השני, שלא תסורב מטעמים בלתי סבירים, למעט החברה במסגרת מיזוג, רכישה או מכירה של עיקר פעילותה, בהודעה לשותף ובלבד שהנעבר נוטל על עצמו את התחייבויות החברה.
- 18.4כוח עליון. צד לא יישא באחריות לעיכוב או לאי-קיום הנובעים מנסיבות שאינן בשליטתו הסבירה, לרבות מלחמה, מצב חירום, מגפה בבעלי חיים, אסון טבע, תקלה ברשתות תקשורת ציבוריות או הוראת רשות, ובלבד שיודיע על כך לצד השני ויפעל לצמצום ההשפעה. חובות תשלום בגין מחזורים שהושלמו אינן נדחות מכוח סעיף זה.
- 18.5הודעות. הודעות יימסרו בכתב לכתובות המפורטות במסמך ההתקשרות, או בדואר אלקטרוני לכתובת הנציג. הודעה בדואר אלקטרוני נחשבת שהתקבלה ביום העסקים הבא, בהיעדר הודעת כשל; בדואר רשום, בתוך שלושה ימי עסקים; במסירה אישית, במועד המסירה.
- 18.6ויתור ובטלות חלקית. הימנעות מאכיפת זכות אינה ויתור עליה. הוראה שתימצא בטלה או בלתי אכיפה תצומצם במידה הנדרשת, ויתר ההוראות יעמדו בתוקפן.
- 18.7דין וסמכות שיפוט. על ההסכם יחול דין מדינת ישראל בלבד. הצדדים ינסו ליישב כל מחלוקת בשיחה בין מנהליהם בתוך 14 יום לפני פנייה לערכאות. סמכות השיפוט הבלעדית נתונה לבתי המשפט המוסמכים במחוז תל אביב-יפו. אמנת האו"ם בדבר חוזים למכר טובין בינלאומי (CISG) לא תחול.
- 18.8שפה. תנאים אלה מתפרסמים בעברית ובאנגלית. בכל סתירה גובר הנוסח העברי.
- 18.9אישור אלקטרוני. הסכמה לתנאים באמצעות סימון, לחיצה או שימוש בפלטפורמה שקולה לחתימה, ורישומי המערכת של החברה בדבר מועד ההסכמה והגרסה שאושרה ישמשו ראיה לכאורה לכך.

In short (this summary does not replace the Terms)
- What this is. The general terms that govern every use of the AgenticEye OS platform and every Design Partner engagement. The commercial document you signed (the Engagement Document) sets the specific terms and prevails over this document where they conflict.
- The platform is in development. It is provided as is, its alerts and recommendations are decision aids, and responsibility for the animals and their care stays with the grower and the veterinarian.
- Your data is yours. We use it to run and improve the system, and outside your farm only in aggregated or anonymised form. A full export is available from inside the app at any time.
- Leaving. Either side may end the engagement on 30 days' notice. Settlement for cycles already completed remains due.
1Scope, engagement documents and precedence
- 1.1These general terms (the "Terms") apply to all access to and use of the AgenticEye OS platform, and to every engagement between the Company and a customer under the Design Partner Program. They form an integral part of every engagement form, quotation, onboarding form or other specific document signed or approved between the Company and the customer that refers to them (the "Engagement Document"). The Terms and the Engagement Document together are the "Agreement".
- 1.2If these Terms conflict with an express provision of the Engagement Document, the Engagement Document prevails, but only for the matter in conflict. The documentation, the website terms of use and any other document are subordinate to these Terms.
- 1.3Anyone who registers for or uses the platform without a signed Engagement Document (including during a trial) is bound by these Terms, except section 8, which applies only where an Engagement Document grants the Company a share of improvement.
- 1.4A user acting on behalf of an entity represents that they are authorised to bind it. The "Partner" or "Customer" is the entity or person identified in the Engagement Document or, absent one, the person who opened the account.
2Definitions
- "Platform" — the AgenticEye OS system in all its components: the software and app, cloud services, programming interfaces (APIs), collection and analysis tools, the reports, alerts, recommendations and insights it produces, the algorithms and models, the documentation, and every update or new version supplied during the Term.
- "Equipment" — sensors, cameras, communication and computing units and ancillary equipment installed at the Farm to operate the Platform.
- "Farm" — the Partner's houses, enclosures and buildings listed in the Engagement Document or defined in the Platform.
- "Authorised Users" — the Partner's employees, and its advisers and service providers (such as a veterinarian or a growing adviser) who are not competitors of the Company, to whom the Partner has granted access.
- "Partner Data" — all information about the Partner, the Farm, the animals, the growing cycles, the Partner's employees, suppliers or sales that is provided to the Company or collected at the Farm through the Platform, including images, video and sensor readings.
- "Aggregated Data" — data that has been aggregated or anonymised so that the Partner, its employees or its specific commercial activity cannot reasonably be identified from it.
- "Feedback" — comments, suggestions, requests, bug reports and ideas concerning the Platform.
- "Growing Cycle" — a growing period in a given house, from chick placement to marketing of the flock.
- "Term" — the term of the Agreement under section 16.
3The Design Partner Program and what the Company provides
- 3.1Development stage. The Platform is under development, testing and calibration and is not a finished product. It may contain faults, outages and errors. The Partner joins the Design Partner Program knowing this and in return receives early access, influence over the product design and preferential terms as set out in the Engagement Document.
- 3.2Installation and operation. The Company will install, operate and maintain the Platform at the Farm as set out in the Engagement Document, and may update the Platform, add or remove capabilities and suspend it temporarily for maintenance, repair or development, with advance notice where practicable.
- 3.3Support. The Company will provide a contact person, train the Partner's team in using the Platform and use commercially reasonable efforts to address reported faults. Unless the Engagement Document says otherwise, these Terms contain no commitment to a service level, minimum availability or defined response times.
- 3.4Feedback and development. The Company may, at its discretion, invest resources in implementing Feedback and decide which capabilities to develop. Receiving Feedback is not a commitment to build a particular capability.
- 3.5Decision aids only. The Platform's alerts, recommendations, forecasts and assistant answers are aids to the grower's decisions. They do not replace the Farm's control, alarm and power-backup systems, the team's supervision or the professional judgement of the grower and the veterinarian, and they are not veterinary, nutritional or regulatory advice.
- 3.6Publicity. Presenting the Partner as a customer, including its name, logo, images or results, requires the Partner's prior written approval for each publication. Approval by e-mail is sufficient.
4Licence and authorised users
- 4.1Subject to the Agreement, the Company grants the Partner a limited, non-exclusive, non-transferable, non-assignable and non-sublicensable licence to use the Platform during the Term solely to manage the Farm, in accordance with the documentation. All rights not expressly granted are reserved to the Company.
- 4.2The Partner may grant access to Authorised Users only, is responsible for their use of the Platform as for its own, and will keep access credentials confidential. Access for a competitor of the Company requires written consent.
- 4.3The licence is granted without licence or subscription fees unless the Engagement Document says otherwise, and does not derogate from the Company's entitlement to a share of improvement under section 8 where the Engagement Document so provides.
5Prohibited uses
Except as expressly permitted by the Agreement or with the Company's prior written consent, the Partner will not do, or allow anyone else to do, any of the following:
- copy, modify, translate or create derivative works of the Platform or any part of it;
- disassemble, reverse engineer or attempt to discover source code, models or algorithms of the Platform;
- sell, rent, lend, sublicense or make the Platform available to a third party, including on a service-bureau basis;
- circumvent security measures or access restrictions, probe the Platform's resilience or deliberately overload it;
- use the Platform to develop a competing product, or publish performance test results without approval;
- remove or obscure trademarks and proprietary notices;
- upload unlawful, harmful or infringing content, or use the Platform in breach of law, including privacy law.
6Partner obligations
- 6.1Representative. The Partner will appoint a representative as the main contact for coordination and feedback.
- 6.2Access. The Partner will give the Company and its personnel, by prior arrangement and at reasonable hours, access to the Farm and to the infrastructure needed to install, operate, test, maintain, replace and remove the Equipment, and will not unreasonably withhold or delay access needed to resolve a fault.
- 6.3Biosecurity and safety. The Company's team will follow the Farm's safety, hygiene and biosecurity procedures as communicated in advance. Installation and removal of Equipment will take place, where practicable, during the clean-out period between growing cycles.
- 6.4Infrastructure. The Partner will make the Farm's existing electricity and internet connectivity available to the Platform, to the extent available and required.
- 6.5Permits and consents. The Partner is responsible for obtaining and maintaining every consent, permit or authorisation required of it by law for installing the Equipment, filming and collecting data at the Farm, including notifying employees, visitors and service providers who may be present in filmed areas. The Company will provide recommended signage and notice wording.
- 6.6Data. The Partner will enter in the Platform, or provide to the Company, fully, accurately and on time, the growing data needed to operate and calibrate the Platform and to calculate under section 8, including placement, mortality, feed and water consumption, weighings, marketing and slaughter dates and sale proceeds.
- 6.7Exceptional events. The Partner will inform the Company without delay of any exceptional event, fault or material change in growing conditions that may affect the operation of the Platform or the calculation.
- 6.8Feedback. The Partner will give the Company reasonable Feedback on the Platform, including taking part in periodic feedback calls, and will share needs, problems and procedures relevant to the product design.
- 6.9Representations. The Partner represents that entering into and performing the Agreement does not breach any law, licence or agreement binding on it, and that it holds the rights needed to grant the Company the rights under the Agreement without payment to any third party.
7Equipment
- 7.1The Engagement Document sets out which Equipment is installed and who supplies it. Unless it says otherwise, the Equipment is supplied and installed by the Company, remains its property and responsibility, and is removed by it at the end of the Agreement.
- 7.2The Partner will not move, disconnect, alter or damage the Equipment without coordinating with the Company, except in an emergency where this is needed to prevent immediate harm, and will inform the Company of any damage or fault it becomes aware of.
- 7.3Repair or replacement of Equipment due to fair wear and tear, a defect or a fault not attributable to the Partner is borne by the party supplying the Equipment under the Engagement Document. Damage to Equipment caused by a wilful act, unauthorised use or negligence of the Partner or anyone on its behalf is borne by the Partner.
- 7.4The Equipment is intended for monitoring the animals and the growing environment. Cameras are aimed at growing areas; the Platform does not perform facial recognition and is not intended for monitoring employees.
8Fees and the Company's share of improvement
This section applies where the Engagement Document provides that the Company is entitled to a share of the improvement measured in the Farm's performance (the "Company's Share of Improvement"). The percentage, the formula, the baseline for each house and the method of attributing proceeds are set in the Engagement Document and its annexes, which prevail over this section. Absent a different provision there, the following applies.
- 8.1Costs. The Company bears the dedicated costs of setting up, installing, operating and maintaining the Platform. The Partner bears the ordinary costs of running the Farm and its existing infrastructure. A dedicated external cost that would not have arisen but for the Platform is borne by the Company, provided it approved it in advance and in writing.
- 8.2The metric. Improvement is measured for each house and each Growing Cycle separately using the EPEF (European Production Efficiency Factor), calculated as: livability in percent, multiplied by average live weight in kg, multiplied by 100, all divided by the product of growing days and feed conversion ratio. For this purpose:
- Livability — the number of birds that reached slaughter, divided by the number of chicks placed, multiplied by 100 (entered as a number, e.g. 96, not as a fraction);
- Average live weight — the average live weight in kg at slaughter;
- Feed conversion ratio (FCR) — the feed consumed during the cycle in kg, divided by the total live weight marketed in kg;
- Growing days — the number of days from chick placement to slaughter. Where marketing spans several days, growing days are the weighted average by number of birds.
- 8.3The baseline. A house's "Baseline EPEF" is the average EPEF of the last three complete Growing Cycles finished in that house before the Platform was activated, as detailed in the annex to the Engagement Document. Where complete data for three cycles is unavailable, the parties will agree an alternative baseline in writing before measurement begins. The Engagement Document may provide for unmeasured calibration cycles, control houses or seasonal adjustment.
- 8.4Improvement rate and value. The improvement rate in a cycle is the difference between the measured cycle's EPEF and the Baseline EPEF, divided by the Baseline EPEF. The improvement value is the improvement rate multiplied by the sale proceeds for that cycle. "Sale proceeds" means the full consideration due to the Partner for the birds marketed from the house in that cycle, net of VAT, credits, discounts and returns. Where one payment covers several houses without separation, it is attributed to each house by the live weight marketed from it, unless the Engagement Document sets another method.
- 8.5No improvement, no payment. Where the improvement rate in a cycle is zero or negative, no payment is due for that cycle. Unless the Engagement Document provides for netting, a negative result in one cycle is not set off against improvement in another.
- 8.6The Company's share. For each cycle with a positive measured improvement, the Company is entitled to the percentage of the improvement value set in the Engagement Document, plus VAT as required by law. The calculation under this section is the agreed contractual measure of improvement in economic results, and no calculation of actual accounting profit is required.
- 8.7Data and calculation. Within 14 business days of the Partner having the final data for a cycle, including slaughter data and sale proceeds, the Partner will provide them to the Company with supporting documents. The Company will prepare the calculation, as far as possible from the data in the Platform, and deliver it to the Partner with the data on which it is based.
- 8.8Objection. The Partner may submit a reasoned objection within 14 days of receiving the calculation. Absent a timely objection the calculation is deemed approved. If the parties do not resolve the objection within a further 14 days, the dispute is decided by an independent certified public accountant familiar with the agricultural sector, appointed by agreement or, failing agreement, by the President of the Institute of Certified Public Accountants in Israel. The accountant acts as an expert and not as an arbitrator, decides on the basis of the Agreement and the data presented, and the decision is final save for manifest error. The accountant's fee is borne equally unless the accountant decides otherwise.
- 8.9Payment. The Company's share is paid within 30 days of delivery of a valid tax invoice after the calculation is approved. An objection does not delay payment of the undisputed amount.
- 8.10Exceptional events. A cycle materially affected by an event unrelated to the Platform, such as a disease outbreak, culling, a material infrastructure failure in the house, a material change of breed, feed or growing conditions, or force majeure, will be discussed in good faith for adjustment, exclusion or an alternative baseline. No cycle or data point may be excluded unilaterally. Failing agreement, section 8.8 applies.
- 8.11Causation. Except for an adjustment agreed under section 8.10, a positive improvement calculated under this section entitles the Company to its share, and no separate proof of a causal link between the Platform's operation and the improvement is required.
- 8.12Records and audit. Each party will keep the data and documents used for the calculations for at least 24 months. The Company may, by prior arrangement and no more than once a year, appoint an independent accountant to review the relevant data to verify the calculation, subject to confidentiality and without unduly burdening the Partner's operations.
- 8.13Taxes. Each party is responsible for the taxes applicable to it. Amounts under the Agreement are exclusive of VAT, payable against a tax invoice.
- 8.14Entire financial arrangement. This section and the Engagement Document are the entire financial arrangement between the parties. Neither party is entitled to any payment, commission, bonus or expense reimbursement not provided for in the Agreement.
9Partner data, privacy and security
- 9.1Ownership. Partner Data is and remains the Partner's exclusive property. The Platform, the documentation, the algorithms, the models, the Platform's technical operating data and Aggregated Data are not Partner Data.
- 9.2Permitted use. The Company will process Partner Data to provide, operate, test, calibrate, secure and improve the Platform, to provide support, to calculate under section 8 and to comply with law, and may disclose it to its service providers bound by appropriate confidentiality and security obligations, as detailed in the Privacy Notice. The Company will not sell Partner Data or give it to a third party for that party's own purposes.
- 9.3Aggregated Data. The Company may derive Aggregated Data from Partner Data and use it without restriction, including to train models, for industry benchmarks and to develop and commercialise the Platform.
- 9.4Artificial intelligence. Some Platform capabilities run on models of external AI providers, to which the text excerpts and images needed for an analysis are sent. The providers, the type of information sent and the safeguards are detailed in the Privacy Notice. The Company will not train models on identifiable Partner Data without the Partner's consent.
- 9.5Roles under privacy law. To the extent Partner Data includes personal information about the Partner's employees, suppliers or other contacts, the Partner is the controller of that information and the Company holds and processes it on the Partner's behalf under its reasonable instructions, in accordance with the Israeli Protection of Privacy Law, 5741-1981 and its regulations. The Partner is responsible for the lawful basis of collection and for informing data subjects; the Company is responsible for securing the information in its possession, will assist the Partner in responding to data-subject requests, and will notify the Partner without delay of a serious security incident affecting its data.
- 9.6Security. The Company will apply reasonable, industry-standard security measures, including encryption in transit, role-based access control, session management, activity logging and periodic backups, in accordance with the Protection of Privacy Regulations (Data Security), 5777-2017.
- 9.7Export and deletion. The Partner may export its data from the Platform at any time in a common format. After the Agreement ends, the Company will keep Partner Data for 90 days for export and then delete it or convert it to Aggregated Data, except what must be kept by law, to protect legal rights or for a calculation under section 8. The export obligation does not extend to the Platform, the documentation, algorithms, models, technical operating data or third-party information.
- 9.8Privacy Notice. Full details of data processing, sub-processors, retention periods and data-subject rights appear in the AgenticEye OS Privacy Notice, which forms part of these Terms.
10Intellectual property and feedback
- 10.1The Platform and the Equipment are licensed, not sold. The Company and its licensors own all rights in the Platform, the documentation and every improvement, development or derivative work of them, including those created following Feedback, and the Agreement transfers no right in them to the Partner other than the licence under section 4.
- 10.2The Partner grants the Company an irrevocable, worldwide, royalty-free, perpetual licence to use the Feedback and incorporate it in the Platform and in current and future products and services, without attribution or payment. This does not transfer to the Company any trade secrets or professional know-how of the Partner other than the Feedback itself, which remain the Partner's property.
- 10.3Each party's trademarks, logos and names belong to it and may not be used without its consent, except under section 3.6.
11Confidentiality
- 11.1"Confidential Information" is a party's non-public information, in any form, concerning its products, technology, data, know-how or business, that is marked confidential or that by its nature or the circumstances of disclosure should be treated as confidential. The Platform and the documentation are the Company's Confidential Information; Partner Data is the Partner's Confidential Information.
- 11.2Each party will keep the other's Confidential Information secret, use it only for the Agreement, protect it at least as it protects its own confidential information and no less than with reasonable care, and disclose it only to its employees, advisers and suppliers who need it for the Agreement and are bound by similar confidentiality obligations.
- 11.3The obligation does not apply to information the receiving party shows was or became public other than through a breach, was lawfully in its possession before receipt, was lawfully received from a third party without a duty of confidentiality, or was independently developed. Disclosure required by law or a court order is permitted, with advance notice to the other party where the law allows, limiting the disclosure to what is required.
- 11.4The confidentiality obligation lasts three years after the Agreement ends, and for trade secrets and Partner Data for as long as they remain confidential.
12Third-party components and artificial intelligence
- 12.1The Platform may include third-party software components, including open-source components, subject to their own licence terms. If these Terms conflict with such a component's licence, the component's licence prevails for that component only. This does not make the Platform open-source software.
- 12.2Outputs of artificial intelligence, including image and video analysis, classification of reports, forecasts and assistant answers, may be wrong, incomplete or out of date. The Partner will apply professional judgement before relying on them and will not rely on them as the sole basis for a decision concerning animal health, safety or regulatory compliance.
- 12.3External services integrated in the Platform (such as maps, weather, WhatsApp messaging and e-mail) are provided by third parties, and the Company is not responsible for their availability or accuracy.
13Disclaimer of warranties
- 13.1To the maximum extent permitted by law, the Platform, the Equipment and the documentation are provided "as is" and "as available". The Company does not warrant that the Platform will meet the Partner's requirements, that its operation will be uninterrupted, secure or error-free, or that every fault will be corrected, and disclaims all implied warranties, including of merchantability and fitness for a particular purpose.
- 13.2The Company does not warrant that operating the Platform will improve EPEF, livability, weight, feed conversion, growing days, revenue, costs, profitability or any other metric. Using the Platform during its development stage constitutes consent to take part in testing of non-final versions.
14Limitation of liability
- 14.1To the maximum extent permitted by law, neither party is liable to the other, in contract, tort (including negligence) or otherwise, for indirect, consequential, special or punitive damage, including loss of revenue, profit, goodwill, data or anticipated savings, even if advised of the possibility of such damage.
- 14.2Each party's total aggregate liability arising from or related to the Agreement will not exceed the greater of: (a) the amounts actually paid to the Company under the Agreement in the 12 months preceding the event giving rise to the claim; and (b) the minimum liability cap stated in the Engagement Document or, if none is stated, NIS 50,000.
- 14.3The limitations in this section do not apply to liability that cannot be limited by law, to damage caused wilfully or by gross negligence, to bodily injury, to breach of sections 5, 10 or 11, or to the indemnification obligations under section 15.
- 14.4The parties acknowledge that the allocation in sections 13 and 14 reflects the fact that the Platform is provided at a development stage and on preferential terms, and is a basis of their agreement.
15Indemnification
- 15.1The Partner will indemnify the Company, its officers, employees and contractors against third-party claims, including reasonable legal costs, arising from unauthorised use of the Platform, breach of sections 5 or 6.5, or information the Partner uploaded to the Platform in breach of law or third-party rights.
- 15.2The Company will indemnify the Partner against a third-party claim alleging that the Platform, as supplied by the Company and used in accordance with the Agreement, infringes that party's intellectual property right in Israel. The Company may, at its option, procure the right for the Partner to continue using the Platform, modify the Platform so that it no longer infringes, or terminate the Agreement. The indemnity does not cover infringement arising from Partner Data, from an integration not made by the Company or from use in breach of the Agreement.
- 15.3A party entitled to indemnification will notify the indemnifying party of the claim without delay, allow it to control the defence and settlement negotiations (provided no settlement imposes liability or an admission on the indemnified party without its consent) and cooperate with it reasonably.
16Term and termination
- 16.1Term. The Agreement takes effect on the date set in the Engagement Document and runs for the term set there; absent one, 12 months from completion of installation, renewing automatically for 12-month periods unless a party gives notice otherwise 30 days before the end of a period.
- 16.2Termination on notice. Either party may terminate the Agreement for any reason on 30 days' prior written notice.
- 16.3Breach and insolvency. Either party may terminate the Agreement immediately if the other commits a material breach not cured within 15 days of written notice, or if a winding-up, receivership or stay-of-proceedings order is made against it and not lifted within 45 days.
- 16.4Consequences. On termination: (a) the licence ends and the Partner will stop using the Platform; (b) the Partner will give the Company reasonable access to remove its Equipment, and the Company will remove it in coordination with the Partner, where practicable during the clean-out period between cycles and not while animals are in the house unless the Partner agrees, restoring installation points to their previous condition save for fair wear and tear; (c) each party will return or destroy the other's Confidential Information, subject to retention required by law and to section 9.7; (d) the Partner is entitled to export its data under section 9.7.
- 16.5Pending calculations. Termination does not affect the Company's right to its share of improvement for cycles completed before termination. If the Agreement ends during a cycle in which the Platform was operating, the calculation for that cycle is made when it is completed, and the Company's share is multiplied by the ratio of days the Platform operated in the cycle to the total growing days of the cycle, unless agreed otherwise in writing.
- 16.6Survival. Sections 8 (for completed cycles), 9, 10, 11, 13, 14, 15, 16.4 to 16.6 and 18 survive termination.
17Changes to these Terms
- 17.1The Company may update these Terms from time to time. The current version, its number and its effective date are published at this document's permanent address, and the version history at the end records the changes.
- 17.2A material change takes effect for a Partner that signed an Engagement Document 30 days after notice is given in writing or in the Platform, does not affect the commercial terms of the Engagement Document, and does not reduce rights accrued to the Partner for the period before the change. A Partner that does not agree to the change may terminate the Agreement by notice before it takes effect.
- 17.3Continued use of the Platform after a change takes effect constitutes acceptance of it. A non-material change, including correction of an error or a clarification, takes effect on publication.
18General
- 18.1Independent parties. The Agreement creates no partnership, joint venture, employment or agency. "Design Partner" describes the nature of the collaboration only.
- 18.2Entire agreement. The Agreement is the entire agreement between the parties on its subject matter and supersedes all prior understandings and drafts. Amendments must be in writing, except as provided in section 17; technical annexes may be updated by e-mail agreement between the representatives.
- 18.3Assignment. Neither party may assign the Agreement without the other's consent, not to be unreasonably withheld, except that the Company may assign it in a merger, acquisition or sale of substantially all its business, on notice to the Partner and provided the assignee assumes the Company's obligations.
- 18.4Force majeure. A party is not liable for delay or non-performance caused by circumstances beyond its reasonable control, including war, a state of emergency, an animal epidemic, a natural disaster, failure of public communication networks or an order of an authority, provided it notifies the other party and acts to reduce the impact. Payment obligations for completed cycles are not deferred under this section.
- 18.5Notices. Notices are given in writing to the addresses in the Engagement Document, or by e-mail to the representative's address. An e-mail notice is deemed received on the next business day absent a failure message; registered mail within three business days; personal delivery on delivery.
- 18.6Waiver and severability. Failure to enforce a right is not a waiver of it. A provision found void or unenforceable will be narrowed to the extent necessary, and the remaining provisions remain in force.
- 18.7Law and jurisdiction. The Agreement is governed solely by the laws of the State of Israel. The parties will try to resolve any dispute in a discussion between their managers within 14 days before resorting to the courts. The competent courts of the Tel Aviv-Jaffa district have exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
- 18.8Language. These Terms are published in Hebrew and English. In any conflict the Hebrew text prevails.
- 18.9Electronic acceptance. Accepting these Terms by ticking, clicking or using the Platform is equivalent to a signature, and the Company's system records of the time of acceptance and the version accepted are prima facie evidence of it.
